Please read these terms of service (“Terms”, “Terms of Service”) carefully before using the uMenu mobile application (the “Service”) operated by uMenu LLC (“us”, “we”, or “our”).
ARBITRATION NOTICE: YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
Intellectual Property
The Service and its original content, features and functionality are and will remain the exclusive property of uMenu and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of uMenu.
We do not claim ownership of your content, but you grant us a license to use it. When you share, post, or upload content that is covered by intellectual property rights (like photos or videos) on or in connection with our Service, you hereby grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. This license will end when your content is deleted from our systems. You can delete content individually or all at once by deleting your account.
You agree that we can download and install updates to the Service on your device.
If you select a username or similar identifier for your account, we may change it if we believe it is appropriate or necessary (for example, if it infringes someone’s intellectual property or impersonates another user).
If you use content covered by intellectual property rights that we have and make available in our Service (for example, images, designs, videos, or sounds we provide that you add to content you create or share), we retain all rights to our content (but not yours).
If you post an image that was not taken by you, we may remove that content.
If we receive a takedown request of content you posted we may remove the content if we find that the request has merit or legal standing.
If you use copyrighted music we may either replace the music or remove the post to prevent copyright infringement.
Any content that is not legal or could be classified as spam may be taken down. Any content that is flagged by other users may be taken down.
We have the right to shadow ban posts – meaning remove them from the home feed which we might do for low quality posts, such as a blurry picture of food.
We may take down content for any reason and without any prior notice.
Flagged content will be temporarily hidden until it can be reviewed by a uMenu employee. The uMenu employee will decide to either remove the content or remove the flag so the content is once again viewable.
Users can receive a ban and all of that users’ content removed and deleted for malicious, illegal, hateful, or repeated impolite comments.
We ask that all users be respectful and kind.
Links To Other Web Sites
Our Service may contain links to third-party web sites or services that are not owned or controlled by uMenu.
uMenu has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that [insert company name] shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without giving effect to any principles of conflicts of law.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
If a restaurant creates a user profile it may be deleted without notice.
